SMALL ENTITY SUITE FOR BUSINESS™ FEES
The following are the flat rate fees for our services in our Small Entity Suite for Business™, which always include all client consultation and customized legal advice regarding the right legal solution for your needs. In most cases, we can deliver drafts of documents you need within one (1) business day after engagement. Unlike many other law firms that view them as profit centers, we never charge for (a) receipt, docketing, review, file preparation, or file organization for new or transferred files, (b) opening new files, (c) copies (other than use of outside vendors, when necessary, billed at cost), (d) postage, (e) local or long distance phone charges (other than use of outside conferencing services, when necessary, billed at cost), (f) faxes, (g) document scanning, or (h) internet access. The only additional charges are filing fees and third-party costs, when necessary, charged to you at cost with no markup.
New Entity – $750
Asset/Stock Purchase Agreement – Greater of 3% of deal value or $750 – includes supporting resolutions/minutes and electronic copies of all documents
Assumed Name (DBA) – $150 – includes state filing and up to two county filings; $25 (each additional county) and electronic copies of all documents
Certificate of Account Status – $150 – includes state request and electronic copies of all documents
Change of Registered Agent – $150 includes filing with state, supporting resolutions/minutes and electronic copies of all documents
Contract Review – $150 (first two pages); $75 (each additional page)
Contract Review and Negotiation – $650 (first two pages); $75 (each additional page)
Conversion – $750 – includes supporting resolutions/minutes and electronic copies of all documents
Copyright – $250 – includes filing and electronic copies of all documents
Dissolution/Termination – $150 – includes dissolution/termination certificate, filing with state, supporting resolutions/minutes and electronic copies of all documents
Due Diligence – Hourly
Foreign State Qualification – $150 – includes application, filing with state, supporting resolutions/minutes and electronic copies of all documents
Franchise Tax EZ Computation Report – $150 – includes filing with state
Franchise Tax No Tax Due Report – $150 – includes filing with state
Franchise Tax Public Information Report – $150 – includes filing with state
Guaranty – $150 – includes supporting resolutions/minutes and electronic copies of all documents
Private Placement Memorandum (PPM) and Subscription Agreement – Greater of 3% of offering or $1,500 – includes offeree questionnaire and data sheet, professional investment advisor and purchaser representative questionnaire, certificates, and review of governing documents, litigation and legal matters
Promissory Note – $150 – includes supporting resolutions/minutes and electronic copies of all documents
Registered Agent Service – $150/year (avoid default judgments, receive timely notice of any lawsuits, and legal notices can be delivered to us–not to your business)
Reinstatement – Depends upon documentation required and nature of forfeiture; includes filing with state, supporting resolutions/minutes and electronic copies of all documents
Renewal of Registration (LLP/other) – $150 – includes filing with state and electronic copies of all documents
Shareholders/Members (Buy/Sell) Agreement – $500 – includes supporting resolutions/minutes and electronic copies of all documents
Trademark Application – $750 (first International Class); $150 (each additional International Class filed at the same time)
Trademark Office Action (Procedural) – $300

Trademark Docketing – Free-$50 appr./notification – to keep your trademark alive and valid, there are various filing deadlines years into the future that need to be addressed; we will use our advanced docketing software to calendar all important deadlines regarding your trademark and notify you when one is on the horizon
UCC Financing Statement – $250 – includes filing with state and electronic copies of all documents

- S-Corp (S-Corporation) – includes name availability search, Certificate of Formation, filing with state, Bylaws/Regulations, organizational resolutions/minutes, stock/share certificates, stock/share transfer ledger, draft application and obtain federal tax identification number (EIN), preparation and filing of the S-Corp Election, and electronic copies of all documents
- C-Corp (C-Corporation) – includes name availability search, Certificate of Formation, filing with state, Bylaws/Regulations, organizational resolutions/minutes, stock/share certificates, stock/share transfer ledger, draft application and obtain federal tax identification number (EIN), and electronic copies of all documents
- PC (Professional Corporation) – includes name availability search, Certificate of Formation, filing with state, Bylaws/Regulations, organizational resolutions/minutes, stock/share certificates, stock/share transfer ledger, draft application and obtain federal tax identification number (EIN), preparation and filing of the S-Corp Election, and electronic copies of all documents

- Minute Book – $80 (this price includes the cost from printer) – formal binder for your entity records; we will hold and secure your minute book on your behalf ($20/year) or send it to you within the US at no additional charge
